Fostering Positive Interactions With South City Neighborhood Residents

BYLAWS Accepted on 01/10/2024

I. Name

The name of the corporation is the South City Neighborhood Association, Inc., hereinafter called the Association.

II. Purpose

The purpose of the Association shall be:

(a) preserving and enhancing the South City neighborhood as a desirable residential community;

(b) protecting the natural beauty of the neighborhood;

(c) promoting sound planning and zoning within and surrounding the neighborhood;.

(d) providing a forum for the residents to express opinions and concerns;

(e) communicating opinions and concerns to the appropriate City and County officials.

(f) to advocate that allocated funds for the South City neighborhood be spent with the resident’s best interest in mind.

(g) foster positive interactions with fellow residents

III. Membership

Membership is optional and is open to all residents, business owners and residential property owners located within the neighborhood exclusively. 

Membership shall be established by validation of residency and full payment of dues. 

Validation of residency is done by providing the following at a public SCNA meeting. 

1) Two city utility bills and/or one utility bill with equivalent documentation deemed acceptable by the board identifying their residency or ownership. 

2) A driver’s license, photo I.D. or passport with a clear photo

3) Payment by any of the following methods.

  1. Paypal ( subject to processing fee)
  2. Check
  3. Money order
  4. Cash ( not preferred method) 

Nonresidents may apply to become recognized advocates for the neighborhood subject to approval from the association’s board of directors.

The South City neighborhood shall mean the region bounded on the south by Orange Avenue; on the east by Jim Lee Road; on the north by E Magnolia Drive; on the west by South Adams St.

IV. Dues

Annual dues shall be $10.00 per household for residents who live within the neighborhood associations boundaries. Dues are payable at any public association meeting. 

V. Executive Board  

The Executive Board of the Association shall consist of between three and eleven directors, elected by the association members.

Any voting member of the Association wishing to serve as a director may nominate themselves or be nominated by a current member of the Board. 

Directors shall serve terms of two years, with the option of serving multiple terms if without objection. Vacancies among Directors shall be filled at the next general membership meeting. If, at any point, only two or fewer Directors remain, the only business the Board may conduct will be actions needed to fill the minimum number of seats.

Directors are to receive no remuneration based on decisions of the board.

Anyone who has pled guilty or has been convicted of a serious crime, including but not limited to fraud, arson, grand theft or larceny is not eligible to act as a member of the Board for the association. If criminal history is uncovered the association and Directors may decide to remove an individual.

Treasurers are not to spend any association funds without full approval from the Board of Directors.

Directors may be removed if:

1)    Deemed missing in action. The following constitutes missing in action. No correspondence or response with the association for over two months and or 3 or more unexcused absences. This includes email correspondence to or from southcityneighbors@gmail.com

2) Misappropriation of the Associations funds

VI. Non-Residents

Passionate community members that live outside of the neighborhood boundaries and do not own land or run businesses within its boundaries are only to act as Advocates. Advocates must be approved by the Board of Directors. 

They may request time to speak at meetings with a 7 day notice only for the purposes of advice or in hopes to influence decisions when pre-approved by the Board.

Anyone who has pled guilty or has been convicted of a serious crime, including but not limited to fraud, arson, grand theft or larceny is not eligible for the advocacy program. If criminal history is uncovered the board may decide to remove an individual as an association advocate.

VII. Meetings

General Meetings will be scheduled regularly as needed and will post to the South City Neighborhood Associations website and social media pages including Facebook. As well as text and email to its members to review issues affecting the Association. The Association will hold at least one general membership meeting a year. Other board and general membership meetings may be scheduled on an as-needed basis throughout the year. Meetings may be called by any board member. Meetings may be attended in person or by Zoom.

  1. Presenters from outside organizations are required to make presentation requests in advance to info@southcityneighbors.com for consideration. Spots are not guaranteed nor permitted without permission granted in writing. Outside organizations are to sign in using the guest sign in. 
  2. Guests and non members are permitted to attend our meetings as they are open to the public however presentations are for the resident and members.
  3. Guests are not permitted to photograph documents and or record meetings  

VIII. Quorum

Official business may be conducted by online survey and by mail, in person or electronic survey by the association members and board of directors. Decisions by survey will be decided by a simple majority. Survey results are only to be counted if it can be validated as completed by a resident and association member. Responses of surveys that can’t be validated will be dismissed and not included in survey results.  

Decisions at the Association meetings will be decided by a simple majority of those voting either by electronic survey or in person. Association Members do not have to be physically present for their votes to count. Special and limited accommodations can be made for residents unable to attend in person and without means to vote on matters electronically.

No other organization or individual may act on behalf of the South City Neighborhood Association unless authorized by the association and its board of directors. 

IX. Voting

Resident association members that reside within South City’s boundaries are considered voting members.

Property owners, and business owners are recognized as non voting members.  

Association members in good standing may vote at association meetings. Voting shall be by in-person attendance or video conferencing.

Special and limited accommodations can be made for residents unable to attend in person and without means to vote on matters electronically.

X. Amendments

The Bylaws of the Association are reviewed annually and voted on in our January meeting. The amendments shall be ratified by the general membership or by any method the Board deems appropriate. A rule of procedure or bylaw may be suspended or waived at any meeting by a two-thirds (2/3) vote of directors.
